Scope of Services: Creating Objects Producing Positive Electrical Resonation LLC agrees to provide engineering and production-support services related to objects designed for positive electrical resonation, as described in a Statement of Work (SOW) or Master Service Agreement (MSA). The governing document defines project milestones, technical requirements, deliverables, and acceptance criteria.
Payment Terms: Client agrees to pay all fees as outlined in the SOW/MSA. Invoices are due according to the agreed schedule. Failure to make timely payment may result in suspension of active services, paused deliverables, or termination as permitted by contract.
The Agreement does not transfer from Us to you any of Ours or third party intellectual property. All proprietary methodologies, engineering frameworks, and internal design processes remain the sole property of Creating Objects Producing Positive Electrical Resonation LLC. Custom deliverables specifically commissioned for the Client transfer as defined in the SOW after full payment. Client-provided materials remain the property of the Client.
The Client agrees to provide all necessary access to information, data, and platform permissions required for us to perform the contracted services. This may include access to relevant technical environments, equipment specifications, site constraints, and approval contacts. The Client is responsible for the accuracy and legality of provided materials and for operational compliance within its own organization.
Either party may terminate the agreement with 30 days written notice, or as defined in your MSA. Early termination may be subject to milestone billing, work-in-progress charges, and transition terms defined in the contract. We may suspend access to services in cases of non-payment or material breach.
Our Services are provided "AS IS" and "AS AVAILABLE". Creating Objects Producing Positive Electrical Resonation LLC disclaims all warranties, express or implied, except those explicitly set forth in a signed agreement. Engineering outcomes depend on operating conditions, implementation quality, and external factors beyond our control. Past performance does not guarantee future results.
